Agreement to Our Legal Terms

We operate the website http://www.vialucra.com (the "Site"), as well as any other related products and services that refer or link to these legal terms (the "Legal Terms") (collectively, the "Services").
Vialucra is a digital platform that enables users to create, manage, and access professional services and tools. Users create accounts, receive secure authentication via SMS one-time passwords, and utilize our platform's features for their business or personal needs.

These Legal Terms constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you"), and Via Lucra LLC, concerning your access to and use of the Services. You agree that by accessing the Services, you have read, understood, and agreed to be bound by all of these Legal Terms. IF YOU DO NOT AGREE WITH ALL OF THESE LEGAL TERMS, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE SERVICES AND YOU MUST DISCONTINUE USE IMMEDIATELY.
We will provide you with prior notice of any scheduled changes to the Services you are using. The modified Legal Terms will become effective upon posting or notifying you by no-reply@vialucra.com. By continuing to use the Services after the effective date of any changes, you agree to be bound by the modified terms.
The Services are intended for users who are at least 18 years old. Persons under the age of 18 are not permitted to use or register for the Services.

1. Our Services
The information provided when using the Services is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation or which would subject us to any registration requirement within such jurisdiction or country.
Telecommunications Compliance
TCPA Compliance: Our SMS messaging services comply with the Telephone Consumer Protection Act (TCPA) and related FCC regulations. By providing your mobile phone number, you expressly consent to receive transactional text messages from Vialucra, including one-time passwords and account security notifications.
CTIA Guidelines: We adhere to CTIA Messaging Principles and Best Practices, including proper message formatting, opt-out mechanisms, and age-gate requirements where applicable.
Carrier Requirements: We comply with all major U.S. wireless carrier messaging guidelines and A2P 10DLC registration requirements.
State-Specific Requirements: For California residents, we comply with California's Automatic Dialing-Announcing Device (ADAD) laws.
CAN-SPAM Act: While our messages are transactional in nature, we maintain compliance with the CAN-SPAM Act where applicable.
Data Protection: Our SMS services comply with applicable data protection laws including GDPR (for EU users) and CCPA (for California residents).
2. Intellectual Property Rights
We are the owner or the licensee of all intellectual property rights in our Services, including all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics in the Services (collectively, the "Content"), as well as the trademarks, service marks, and logos contained therein (the "Marks").
Our Content and Marks are protected by copyright and trademark laws and treaties in the United States and around the world.
Subject to your compliance with these Legal Terms, we grant you a non-exclusive, non-transferable, revocable license to access the Services and download or print a copy of any portion of the Content to which you have properly gained access, solely for your internal business purpose.
3. User Representations
By using the Services, you represent and warrant that:
- All registration information you submit will be true, accurate, current, and complete
- You will maintain the accuracy of such information and promptly update such registration information as necessary
- You have the legal capacity and you agree to comply with these Legal Terms
- You are not a minor in the jurisdiction in which you reside
- You will not access the Services through automated or non-human means
- You will not use the Services for any illegal or unauthorized purpose
- Your use of the Services will not violate any applicable law or regulation
4. User Registration
You may be required to register to use the Services. You agree to keep your password confidential and will be responsible for all use of your account and password. We reserve the right to remove, reclaim, or change a username you select if we determine, in our sole discretion, that such username is inappropriate, obscene, or otherwise objectionable.
5. Purchases and Payment
We accept the following forms of payment: Visa, Mastercard, American Express, Discover, PayPal.
You agree to provide current, complete, and accurate purchase and account information for all purchases made via the Services. You further agree to promptly update account and payment information, including email address, payment method, and payment card expiration date.
We reserve the right to change prices at any time. All payments shall be in U.S. dollars.
We reserve the right to refuse any order placed through the Services. We may, in our sole discretion, limit or cancel quantities purchased per person, per household, or per order.
6. Subscriptions
Your subscription begins with a 60-day free trial. At the end of your free trial, you will be charged the applicable subscription fees for the type of subscription you have selected.
We will bill your payment method on a recurring basis. You authorize us to charge your payment method on a recurring basis without requiring your prior approval for each recurring charge.
You can cancel your subscription at any time by logging into your account. Your cancellation will take effect at the end of the current paid term.
We may modify subscription fees at any time. Any fee changes will apply to your next billing cycle after we provide you with prior notice.
7. Prohibited Activities
You may not access or use the Services for any purpose other than that for which we make the Services available. The Services may not be used in connection with any commercial endeavors except those that are specifically endorsed or approved by us. As a user of the Services, you agree not to:
- Systematically retrieve data or other content from the Services to create or compile a collection, database, or directory
- Trick, defraud, or mislead us and other users
- Circumvent, disable, or otherwise interfere with security-related features of the Services
- Disparage, tarnish, or otherwise harm, in our opinion, us and/or the Services
- Use any information obtained from the Services in order to harass, abuse, or harm another person
- Make improper use of our support services or submit false reports of abuse or misconduct
- Use the Services in a manner inconsistent with any applicable laws or regulations
- Engage in unauthorized framing of or linking to the Services
- Upload or transmit viruses, Trojan horses, or other material that interferes with any party's uninterrupted use of the Services
- Engage in any automated use of the system
- Delete the copyright or other proprietary rights notice from any Content
- Attempt to impersonate another user or person or use the username of another user
- Upload or transmit any material that acts as a passive or active information collection or transmission mechanism
- Interfere with, disrupt, or create an undue burden on the Services or the networks or services connected to the Services
- Harass, annoy, intimidate, or threaten any of our employees or agents engaged in providing any portion of the Services to you
- Attempt to bypass any measures of the Services designed to prevent or restrict access to the Services
- Copy or adapt the Services' software
- Except as permitted by applicable law, decipher, decompile, disassemble, or reverse engineer any of the software comprising or in any way making up a part of the Services
- Use a buying agent or purchasing agent to make purchases on the Services
- Make any unauthorized use of the Services
- Use the Services as part of any effort to compete with us or otherwise use the Services for any revenue-generating endeavor or commercial enterprise

12. Term and Termination
These Legal Terms shall remain in full force and effect while you use the Services. WITHOUT LIMITING ANY OTHER PROVISION OF THESE LEGAL TERMS, WE RESERVE THE RIGHT TO, IN OUR SOLE DISCRETION AND WITHOUT NOTICE OR LIABILITY, DENY ACCESS TO AND USE OF THE SERVICES TO ANY PERSON FOR ANY REASON OR FOR NO REASON.
If we terminate or suspend your account for any reason, you are prohibited from registering and creating a new account under your name, a fake or borrowed name, or the name of any third party.
All provisions of the Legal Terms which by their nature should survive termination shall survive termination.
17. Disclaimer
THE SERVICES ARE PROVIDED ON AN AS-IS AND AS-AVAILABLE BASIS. YOU AGREE THAT YOUR USE OF THE SERVICES WILL BE AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SERVICES AND YOUR USE THEREOF.
18. Limitations of Liability
IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE SERVICES.
22. SMS Text Messaging
By providing your mobile phone number, you consent to receive text messages from us for transactional purposes, including one-time passwords and account security notifications.
Message frequency varies. Message and data rates may apply.
You can opt out at any time by replying STOP to any text message. You may also contact us at devsecops@vialucra.com.

Supported carriers include AT&T, T-Mobile, Verizon, Sprint, and other major U.S. carriers. Carrier message and data rates may apply.
